Terms of Service

1. Acceptance of Terms

By creating an account or using any part of the VirtualNest platform ("Service"), you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement, and accept these Terms of Service in full.

If you are using VirtualNest on behalf of a company or organisation, you represent that you have the authority to bind that entity to these terms.

If you do not agree to these terms, do not use the platform.

2. Description of Service

VirtualNest is an AI-powered SEO and outreach platform. The platform includes tools for:

• Email extraction and verification
• AI-generated content (articles, copy, outreach text)
• SEO analysis and keyword research
• Outreach campaign management
• Lead discovery and prospect enrichment
• AI brand visibility monitoring

Features are subject to change. We reserve the right to modify, add, or remove features at any time. Where a feature change materially affects your plan, we will provide reasonable notice.

3. Acceptable Use

You agree to use VirtualNest only for lawful purposes and in a manner consistent with these terms. The following actions are strictly prohibited:

Scraping & Data Extraction Abuse

• Using VirtualNest's extraction tools to collect data in violation of the source website's terms of service
• Extracting personal data for purposes other than legitimate B2B outreach
• Automated bulk scraping beyond what the platform is designed to support
• Circumventing CAPTCHAs, login walls, or access restrictions on third-party websites

Email & Outreach Misuse

• Sending unsolicited bulk email (spam) using data extracted or processed through VirtualNest
• Harvesting or using contact data in violation of CAN-SPAM, CASL, GDPR, or applicable anti-spam laws
• Using the platform to conduct phishing campaigns or deceptive outreach
• Uploading or processing contact lists obtained illegally

General Prohibited Conduct

• Sharing account credentials with unauthorised users
• Attempting to access the accounts of other users
• Using the platform to generate harmful, defamatory, or illegal content
• Attempting to reverse-engineer, decompile, or extract source code from VirtualNest
• Reselling or sublicensing access to the platform without written permission
• Using VirtualNest to circumvent legal obligations or engage in fraud

4. Credit System

VirtualNest operates on a credit-based system. Credits are consumed each time you run a chargeable action — such as generating content, extracting emails, or running an SEO query.

How credits work

• Credits are allocated based on your active subscription plan
• Additional credits may be purchased as a top-up at any time
• Credits are non-transferable between accounts
• The credit cost of each action is displayed within the platform before the action is confirmed

Credit expiry

Plan credits reset at the start of each billing cycle and do not roll over. Purchased top-up credits are valid for 12 months from the date of purchase unless otherwise stated at the time of purchase.

No refunds for used credits

Credits that have been consumed cannot be refunded, regardless of whether the output was used or met your expectations. This is because credits represent API compute costs and third-party data charges incurred on your behalf.

5. Payments & Billing

Subscription billing

VirtualNest subscriptions are billed on a monthly basis. Your billing cycle begins on the date you first subscribe and renews on the same date each month.

Auto-renewal

Subscriptions renew automatically unless you cancel before the start of the next billing cycle. Renewal charges will be applied to the same payment method used at signup. You are responsible for ensuring your payment details remain current and valid.

Price changes

We reserve the right to change subscription prices. Where a price increase affects your current plan, we will provide at least 14 days' written notice by email before the change takes effect. Continued use of the platform after the effective date constitutes acceptance of the new pricing.

Failed payments

If a payment fails, we will attempt to retry the charge. If payment is not successfully collected within a reasonable period, your account may be suspended until the outstanding balance is resolved.

Taxes

All prices are exclusive of applicable taxes unless stated otherwise. You are responsible for any applicable VAT, GST, or other taxes based on your location.

6. Limitation of Liability

No guarantee of results

VirtualNest provides tools to support SEO, outreach, and content workflows. We make no guarantee that use of the platform will result in improved search rankings, increased traffic, successful outreach outcomes, or any specific business result.

No guarantee of data accuracy

SEO data, extracted emails, enrichment data, and AI-generated content are provided on a best-effort basis. We do not warrant the accuracy, completeness, or fitness for purpose of any data or content produced by the platform. You are responsible for reviewing and validating any output before use.

Platform provided "as-is"

The platform is provided "as is" and "as available", without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Liability cap

To the maximum extent permitted by law, VirtualNest's total liability to you for any claim arising out of or related to your use of the platform shall not exceed the total fees paid by you in the three (3) months preceding the event giving rise to the claim.

We are not liable for indirect, incidental, punitive, or consequential damages of any kind, even if we have been advised of the possibility of such damages.

7. Termination

Termination by you

You may cancel your account at any time through your account settings or by contacting us at hello@myvirtualnest.com. Upon cancellation, your access will continue until the end of the current billing cycle. No partial refunds are issued for unused subscription time.

Termination by us

We reserve the right to suspend or permanently terminate your account at our sole discretion, without prior notice or liability, for any of the following reasons:

• Violation of these Terms of Service
• Abusive, illegal, or fraudulent use of the platform
• Non-payment of outstanding charges
• Behaviour that harms the platform, other users, or third parties

Upon termination, your right to access the platform ceases immediately. We may, but are not obliged to, provide an export of your data upon request within 30 days of termination.

8. Ownership & Intellectual Property

Your content

You retain ownership of any content you generate or input into VirtualNest, including AI-generated outputs produced using your prompts and credits. You are responsible for ensuring your use of that content complies with applicable laws and the terms of any third-party services (e.g. OpenAI's usage policies).

Platform rights

VirtualNest, its software, design, branding, proprietary technology, and all associated intellectual property remain the exclusive property of VirtualNest and its licensors. Nothing in these terms grants you a right to use our trademarks, branding, or system code.

Feedback

If you provide feedback or suggestions about the platform, we may use that feedback without obligation to you.

9. Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes, we will notify you by email or by displaying a notice within the platform. Continued use of VirtualNest following notice of changes constitutes your acceptance of the updated terms.

We encourage you to review this page periodically.

10. Governing Law

These terms are governed by and construed in accordance with applicable law. Any disputes arising from your use of VirtualNest will be subject to the exclusive jurisdiction of the courts in the relevant territory.
